ISA’s share admitted to trading on NYSE Alternext
ISA – Intelligent Sensing Anywhere, S.A. concluded its admission to trading on NYSE Alternext, through a private placement of 1,500,000 ordinary registered book-entry shares, with a nominal value of 1€, representative of 100% of the company’s share capital. ISA’s shares were admitted to the NYSE Alternext, making it the first Portuguese company listed on this equity trading market created for small and medium companies by NYSE Euronext. Caixa Económica Montepio Geral is the listing sponsor and Uria Menéndéz – Proença de Carvalho its legal advisor.
ISA is a technology-based company specialized in intelligent telemetry and remote management solutions, operating in the market for over 20 years. ISA was a world pioneer in Oil & Gas smart metering and smart grids, expanding in 2009 to the electrical energy and water markets. ISA is now launching, for the first time, products directly aimed at the consumer market (B2C). ISA’s energy and water efficiency solutions have allowed Portuguese companies to save tens of millions of euros annually.
ISA’s excellence, consistent offer and growth potential allowed the company to be recently distinguished as a Cool Vendor for smart city applications by world leading consultancy agency Gartner. Some of the company’s motives for taking this step are: reinforcing the company’s reputation and credibility with its clients, suppliers and partners, both in the national and international arenas; offering its current and future stockholders the protection and guarantees that NYSE Alternext listing ensures; and facilitating future share capital increases necessary for activity development.
“Since ISA has a strong growth and international expansion dynamics, we decided to request admission to the stock market as a way to reinforce the company’s reputation and credibility with its clients, suppliers and partners and facilitate future share capital increases necessary for activity development”, said José Basílio Simões, ISA’s Chairman of the Board.
“We are proud to be the first Portuguese company to be admitted to NYSE Alternext and we hope our initiative is followed by other entrepreneurs, which would bring greater momentum both to the market and to the national economy”, he added. During this listing process, 700 thousand new shares were issued, with a nominal value of 1€ and an issued price of 5€, resulting in an increase of the company’s share capital to 1,5 million euros and total proceeds of 3,5 million euros for the company.
After this capital increase, accomplished in two tranches (one in 2011 and another in 2012), ISA’s new shareholders structure is: Fundo de Capital de Risco Capital Criativo I with 49,03 percent; ISA Capital, SGPS Lda, the founder’s holding, with 44,75 percent; Newes-New Energy Solutions Lda. with 1,35 percent; ISA personnel with 3,60 percent; other investors with 0,20 percent; remaining 1,07 percent held by ISA in the firm’s own shares.
ISA ended the fiscal year of 2011 with an operational revenue of 7,6 million euros, an increase of over 50% when compared to 2010; an EBITDA of 755.000 € and a net result of 62.000 €. José Basílio Simões, ISA’s co-founder, is the Chairman of the Board, which includes also Nuno Gaioso Ribeiro (Vice-Chairman), Luís Nazaré, Ana Barbosa, Jorge Landeck and Miguel Almeida Henriques.
